REFERRAL AGREEMENT FOR SBLC TRANSACTIONS

PARTIES & BUSINESS DESCRIPTION
This Agreement is entered into by and between:
Referrer: [Name], Address: [Address]. The Referrer has contacts with potential clients and agrees to act as an intermediary finder of clients for the Seller.
Seller: [Your Company Name], Address: [Address].
Seller's Business: Issuance of Standby Letters of Credit (SBLC) and trade finance solutions in Bulgaria, Canada, and the Cayman Islands.
TERM & TERMINATION
Term: Effective upon signing until ______. This Agreement will not automatically renew.
Termination:
1. Immediate termination upon breach by either party.
2. Termination by either party with written notice of ______ days.
RELATIONSHIP BETWEEN PARTIES
The Referrer acts as an independent contractor and provides the services under this Agreement.
The Referrer is not an employee of the Seller.
This Agreement does not create a partnership or any other business relationship between the Parties.
The Referrer has no authority to negotiate or bind the Seller in any way.
PAYMENT & FEES
Commission:
- [__]% per referral (upfront fee) + [__]% of after-guarantee fee.
Invoicing:
- Referrer will provide an invoice every [__] days/months for services rendered.
Payment Method:
- Bank transfer/SWIFT to Referrer's designated account.
- Currency: Paid in same currency as fees received from client unless agreed otherwise in writing.
Timeline:
- Paid within 1-3 business days of Seller's receipt of cleared funds.
CONFIDENTIALITY
The Referrer must keep all terms, materials, and information confidential during and for [__] years after termination.
The Referrer shall not use Seller information for advertisements, promotional activities, or intellectual property without Seller's written consent.
Disclosing or using information beyond the scope of this Agreement without prior consent is prohibited.
CLIENT DEFINITION
"Client" means any individual, company, or entity that is introduced to the Seller by the Referrer during the term of this Agreement. Commission will apply to:
- New clients not previously known to the Seller;
- Existing clients of the Seller only if the Referrer provides a verifiable lead that results in a new transaction;
- Previously introduced leads that result in a transaction during the term of this Agreement.
NON-COMPETE / EXCLUSIVITY
During the term of this Agreement, the Referrer shall not directly or indirectly provide services, referrals, or assistance to any competitors of the Seller in the SBLC or trade finance business without the Seller's prior written consent.
REGULATORY & COMPLIANCE
The Referrer shall comply with all applicable laws, regulations, and guidelines, including but not limited to anti-money laundering (AML), sanctions, and other financial regulatory requirements applicable in the jurisdictions where the Seller operates.
The Referrer must not take any action that could cause the Seller to be in violation of such laws or regulations.
LIMITATION OF LIABILITY
Under no circumstances will either party be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this Agreement or its transactions, whether for breach of contract, tort, negligence, or other action, unless directly resulting from negligence or breach by that party.
INDEMNITY
The Parties agree to indemnify and hold each other harmless, including affiliates, agents, officers, employees, and successors, against all claims, liabilities, damages, losses, penalties, punitive damages, expenses, and reasonable legal fees arising from negligence or breach of this Agreement.
This indemnity remains in full force even after termination of this Agreement.
The Referrer specifically indemnifies Seller for client fraud or misrepresentation.
DISPUTE RESOLUTION & GOVERNING LAW
Any dispute arising out of or in connection with this Agreement shall be submitted to [Arbitration/Mediation/Negotiation] under the laws of [Jurisdiction].
SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
ENTIRE AGREEMENT
This Agreement contains the entire understanding between the Parties with respect to its subject matter and supersedes all prior agreements, oral or written.
AMENDMENTS
Any amendments must be in writing and signed by both Parties to be effective.
